About These Terms
This website, PineGuard.net (the "Site"), is owned and operated by MGP Manufacturing LLC ("MGP," "PineGuard®," "we," "us," or "our"), a manufacturer of gutter protection systems headquartered at 83 2nd Avenue, Paterson, New Jersey 07514. These Terms of Use ("Terms") govern your access to and use of the Site, including all content, features, and resources made available through it.

PineGuard.net is an informational and marketing resource for roofing and exterior trade professionals. This Site does not process transactions. PineGuard® Products are sold through authorized third-party distributors designated by MGP Manufacturing LLC from time to time. All purchases, pricing, availability, and order fulfillment are governed entirely by the applicable distributor's own terms of sale and privacy policy.

By accessing or using this Site, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, all of which together constitute the complete legal agreement governing your use of this Site. Your access to or use of the Site constitutes your electronic acceptance of these Terms, which has the same legal force and effect as a written, signed agreement. If you do not agree to these Terms, you must not use the Site.

This Site is intended for trade professionals located in the United States. If you are accessing the Site from outside the United States, you do so at your own initiative and are solely responsible for compliance with applicable local laws.

We reserve the right to revise these Terms at any time. When we do, we will update the "Last Updated" date above. For material changes that significantly affect your rights, we will provide at least 30 days advance notice by posting a prominent notice on the Site. Changes will be effective immediately for new users and 30 days after notice for existing users. Your continued use of the Site after any revision constitutes your acceptance of the updated Terms.

Defined Terms
As used in these Terms:

"MGP" means MGP Manufacturing LLC, the manufacturer and owner of the PineGuard® brand. MGP Manufacturing LLC manufactures and distributes products under multiple brand names, including but not limited to MasterShield®, Klean Gutter®, MicroMax™, CopperGuard™, PineGuard®, and other brands now or later introduced.

"PineGuard® Product" means any gutter protection product sold under the PineGuard® brand name.

"Distributor" means any authorized third-party distributor designated by MGP Manufacturing LLC from time to time through which PineGuard® Products are made available for purchase by trade professionals. The list of authorized Distributors may change without notice.

"Site" means the PineGuard.net website and all pages, content, and features accessible through it. "Content" means all text, images, photographs, videos, specifications, diagrams, installation guides, and other materials published on the Site.

"Trade Professional" means a licensed or professional roofing contractor, exterior contractor, gutter installer, or other trade professional who accesses the Site in connection with their professional activities. By using this Site, you represent and warrant that you are a qualified trade professional authorized to perform roofing or exterior installation work in your jurisdiction.

1. Nature of This Site — Trade Information Resource

PineGuard.net is designed for roofing and exterior trade professionals. It provides product information, technical specifications, installation resources, and distributor ordering information. This Site does not sell products directly. No transaction is initiated, processed, or completed through this Site.

Notice to Consumers. If you are a homeowner or residential consumer, this Site is not designed for you. PineGuard® Products are sold exclusively through the trade distribution channel and are not available for direct consumer purchase through this Site. For information about MGP Manufacturing LLC's consumer-facing gutter protection brands, please visit MasterShield.com, KleanGutter.com, or MicroMaxGutterGuard.com.

2. Distributor Independence

PineGuard® Products are sold through independently operated authorized distributors. MGP Manufacturing LLC is the manufacturer and brand owner. It is not a party to any transaction between you and a Distributor, and it does not control Distributor pricing, availability, terms of sale, shipping, or customer service. Authorized Distributors are separate legal entities operating independently of MGP Manufacturing LLC. No Distributor is an employee, agent, joint venturer, or representative of MGP Manufacturing LLC. No Distributor has the authority to make representations, warranties, or commitments on behalf of MGP Manufacturing LLC, and no such representation shall be binding on MGP Manufacturing LLC regardless of whether the Distributor carries or promotes PineGuard® branded products. The use of PineGuard® branding or product names by a Distributor does not create or imply any agency relationship between that Distributor and MGP Manufacturing LLC. MGP Manufacturing LLC does not control and is not responsible for Distributor pricing, promotions, online listings, marketplace availability, or any representations made through a Distributor's own website, ordering platform, or sales channel. Authorized Distributors may offer PineGuard® Products through physical branch locations, online ordering platforms, or other sales channels controlled by the Distributor. All such transactions occur solely between the purchaser and the Distributor and are governed by the Distributor's own terms of sale and privacy policy. MGP Manufacturing LLC expressly disclaims any liability for the acts, omissions, pricing decisions, availability representations, or conduct of any Distributor. All disputes regarding orders, pricing, availability, shipping, or returns must be resolved directly with the Distributor through which the purchase was made. Authorized Sales Channels; Prohibition on Unauthorized Marketplace Resale. Authorized Distributors may sell PineGuard® Products through their own approved sales channels, including physical branch locations and their own online ordering platforms. No person or entity is authorized to resell PineGuard® Products through third-party online marketplaces — including but not limited to Amazon, eBay, Walmart Marketplace, or similar platforms — unless expressly authorized in writing by MGP Manufacturing LLC. Listings of PineGuard® Products on unauthorized marketplaces do not represent an authorized sale and may involve counterfeit, diverted, or out-of-specification product for which MGP Manufacturing LLC assumes no responsibility and provides no warranty. MGP Manufacturing LLC reserves the right to take legal action against unauthorized resellers and to restrict or terminate distribution relationships where products are sold through unauthorized channels. 3. No Consumer Transactions This Site does not collect payment information, process orders, or engage in any consumer-facing commercial transactions. All purchases of PineGuard® Products are made exclusively through authorized Distributors under those Distributors' own terms of sale. MGP Manufacturing LLC has no visibility into, and assumes no responsibility for, individual transactions between Distributors and their customers. Because PineGuard® Products are sold through distribution, MGP Manufacturing LLC does not maintain records of individual end-purchasers or installers. Intellectual Property 4.1 Ownership All Content on this Site — including text, photographs, product images, diagrams, installation guides, videos, graphics, logos, and the PineGuard® brand name and trademark — is the property of MGP Manufacturing LLC or its licensors and is protected by U.S. copyright, trademark, patent, and other intellectual property laws. 4.2 Patents PineGuard® Products incorporate patented technology. Patent numbers are listed on the Site's Resources page. Unauthorized manufacture, use, sale, or importation of products that infringe MGP Manufacturing LLC's patents is strictly prohibited and will be pursued to the fullest extent of the law. 4.3 Trademarks PineGuard® is a registered trademark of MGP Manufacturing LLC. Other MGP brand names including MasterShield®, Klean Gutter®, MicroMax™, and CopperGuard™ are trademarks or registered trademarks of MGP Manufacturing LLC. All rights reserved. Unauthorized use of any MGP trademark — including use that misrepresents affiliation with MGP or that is likely to cause consumer confusion — is strictly prohibited and may result in legal action. 4.4 Permitted Use Trade professionals may use product images, specifications, and marketing materials from this Site solely for the purpose of promoting and selling PineGuard® Products to their customers, provided that such use accurately represents the product and does not misrepresent the user's relationship with MGP Manufacturing LLC. All other reproduction, distribution, or commercial exploitation of Content requires the prior written consent of MGP Manufacturing LLC. 4.5 DMCA If you believe that Content on this Site infringes your copyright, please send a written notice to [email protected] containing: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the infringing material and its location on the Site; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; and (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner. 5. MGP Manufacturing LLC assumes that users of this Site are licensed, trained professionals who will exercise their own professional judgment in applying any information from this Site. Product availability may vary by Distributor location and inventory. MGP Manufacturing LLC makes no representation that PineGuard® Products are available in any specific geographic market or through any specific Distributor location. Trade professionals are solely responsible for: Verifying that installation methods are appropriate for the specific conditions of each project Compliance with all applicable local building codes, manufacturer installation requirements, and industry standards The quality and workmanship of their installations Obtaining all required permits and inspections 6. Disclaimer of Warranties THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MGP Manufacturing LLC's total liability to you for any claim arising out of or related to these Terms or your use of this Site shall not exceed one hundred dollars ($100.00). This limitation of liability applies to all claims, whether based in contract, tort, strict liability, or any other legal theory. 8. Your use of any third-party website is governed by that website's own terms and policies. 10. Prohibited Uses You agree not to use this Site to: Violate any applicable law or regulation Attempt to gain unauthorized access to any portion of the Site or its systems Use automated tools to scrape, crawl, or harvest data from the Site Impersonate any person or entity or misrepresent your affiliation with any person or entity Reproduce or distribute Content for any commercial purpose other than the promotion and sale of PineGuard® Products as a licensed trade professional 11. Governing Law and Dispute Resolution These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or your use of this Site shall be resolved exclusively in the state or federal courts located in Passaic County, New Jersey. You consent to the personal jurisdiction of such courts. Informal Resolution. Before initiating any formal legal proceeding, you agree to contact us at [email protected] and provide a written description of the dispute. We will attempt in good faith to resolve the dispute informally within thirty (30) days of receiving your notice. Waiver of Class Action.
